This is the core of the legal work I did for over 15 years in my previous role. I spent a significant amount of time reviewing and drafting all the contracts my company signed in my previous role, and this is the area in which I have the greatest expertise.


As a business changes, so do its contracts. For example, by understanding the changes in a business like the one below, we can shape the agreements with key customers, business partners and related parties and prevent risks and problems before they arise.

By way of illustration, the business owners in the following questions are expected to become clients;

  • Up until this point, our company has been sourcing contracts from similar industries and incorporating them into our own templates. However, we have discovered that there are numerous additional promises that are not included in these templates. It is becoming increasingly clear that we may encounter difficulties in the future if we do not address these issues.
  • Up until this point, the president has been the individual responsible for all customer contracts. Going forward, I propose that this role be assumed by the executive staff, with the exception of exceptional cases. I would like to suggest that the responses previously provided by the president on a case-by-case basis be incorporated into the existing contract as a standard procedure.
  • As our customer base has expanded, we have noted an increase in the number of cancellations that are both unreasonable and unilateral in nature. In view of the aforementioned circumstances, we have decided to decline future work with such clients. We would like to suggest that we draw up a contract that sets out the cancellation terms in advance for the customer.
  • As our business has grown, we have occasionally had to call on the support of our colleagues to complete specific tasks. Given the scale of the project, it is not a viable option for us to assume the risk unilaterally. It is therefore vital that we protect our colleagues in the event of any issues. It is imperative that a contract is drawn up which clearly sets out the respective rights and obligations of all parties in the event of a dispute.

Please find below examples of standard order forms for your reference.

  • The general contract for outsourcing work is priced at 88,000 yen for large lots (for use with a single transaction amount of 2 million yen or more).
  • The General Contract is a small-lot agreement applicable to transactions of 200,000 yen or less. This is the designated order form and order acceptance form, with a total cost of 33,000 yen.

This is a general advice service for small and medium-sized enterprises. I provide guidance on a range of matters that arise as a company expands, with a particular focus on the most urgent issues. Furthermore, I provide practical assistance where feasible.
The monthly consultancy fee of 33,000 yen (including tax) covers the following types of issue and topic estimates: This is an application of the legal and general work I did in my previous role for 21 years, so I have extensive experience and a proven track record in this field.

Troubleshooting Example 1
A former sales representative departed from the company with a list of customers. He subsequently established a business in the same industry and initiated sales calls to his customers, which resulted in unforeseen complications.

The support menu offers a range of preventive measures to address potential future issues.

The company will identify any personal information held and provide guidance on how to manage it, review it and start it up, conduct internal study sessions, maintain documents such as employment rules, written undertakings on joining and leaving the company and privacy policies.


In the event that legal action is required against an employee, it is advisable to seek the advice of a lawyer. Similarly, it is advisable to engage the services of a labour and social security lawyer to ensure that clients are informed of any new employment regulations.


The fee for my consultancy clients is 220,000 yen (including tax). Clients who are not my consultants will be charged 319,000 yen (including tax) for the above services. 

Troubleshooting Example 2

It is not the responsibility of the president to be involved in the minutiae of company procedures and contracts. It is the duty of each department to ensure that the necessary procedures and contracts are carried out. However, if these matters are not addressed, there is a risk of inadequate checks.Furthermore, there is concern that the contracts are managed by different personnel in different ways, which makes it difficult for them to retrieve them when they want to check them.

Exclusive help for advisory clients

1.In order to mitigate risk, I have implemented a policy requiring all department managers to submit documents requiring a seal to Mr Wakasugi for review. While this does not eliminate risk entirely, it does provide an additional layer of scrutiny by a third party, which helps to mitigate the risk to an acceptable level.Please be advised that the fee is included in the monthly consultancy fee.
Should the number of documents exceed a certain threshold, or should the review indicate that the documents require revision, we will provide a separate quote.
Please note that the cost of revisions is 22,000 to 44,000 yen per document (including tax).

2.A system for numbering, filing, contract term management and searching of contracts (or internal documents in general) has been established with the person in charge of general affairs. Troubleshooting Example 3

While we do utilise company vehicles, we are currently unable to fully implement driving record and alcohol check procedures due to unforeseen circumstances. We regret to inform you that one of our employees was recently involved in a rear-end collision. We acknowledged that if this incident had been caused by overwork or alcohol consumption, the company would have been held liable. Consequently, we have taken the decision to take action as a company while there is still time to do so.

I will be conducting an interview with you regarding the operation of company vehicles. Furthermore, I will assess the feasibility of implementing driving records and breathalyzer tests that align with the actual circumstances. Furthermore, I will produce the necessary documentation, including daily driving reports, breathalyser test records and pledge operating manuals. Furthermore, I will conduct training sessions for company drivers.

I am a certified “SP Loan Consultant” by the Japan Loan Consultants Association, a general incorporated association, and a full member.

I support the preparation of business and annual plans that are easy for banks to understand, the improvement of business performance by comparing monthly plans and results and implementing the PDCA cycle, and the provision of regular information to banks to enhance their confidence in you. Furthermore, I facilitate access to funds when needed, at favorable terms.

I have considerable experience in business plan formulation and performance management, as well as report preparation. My previous and current roles have involved these tasks, and I am supported by the Loan Consultant Association, which ensures a high level of professionalism. However, this is a new task for the office, so I have set relatively low fees.

The basic consultancy fee is 44,000 yen per month, with a one-year contract requiring one visit per month. The success fee for obtaining a loan is 2% to 4% of the loan amount. In the event of a one-off case, we will provide a separate quote.

The following types of entrepreneurs are our clients:

  • I am considering a positive investment in the future.
  • I am having trouble getting credit.
  • The scheduled repayments related to the loan taken out to cover the costs of the pandemic have now commenced. I would be grateful for your advice on the possibility of refinancing.
  • I would like to request the removal of the business owner guarantee.

This is a certification support program for the Ministry of Economy, Trade and Industry’s “Health Management Excellent Corporation Certification System” (applications close in October each year).

Obtaining certification will provide your company with a significant level of public recognition. Furthermore, a number of preferential systems are available, including bank loans, applications for subsidies and grants, and tenders for public works. I have extensive experience in this field, having previously managed applications for certification in the large company category of this system.

Furthermore, as I will be supporting both the individual responsible for the application and the applicant company, I am well-positioned to provide guidance that will have a tangible impact on the company’s operations while streamlining the administrative process.

For small businesses in Tokyo, we advise that the application process should be initiated at least six months in advance. Accordingly, I advise that preparations should commence in December.
